How to acquire Hoffmann Green Cement Technologies shares?

The various ways of holding Hoffmann Green Cement Technologies shares

There are three different ways of holding Hoffmann Green shares: 

  • as direct registered shares: registered and entered directly in a securities account held by Hoffmann Green’s securities services manager, 
  • as administered registered shares: registered in a Hoffmann Green account held by your financial intermediary, 
  • as bearer shares: registered and entered in an account held by your financial intermediary.

The decision is yours, so it is important to understand the specificities of each option. Below is some information to help you choose: 

Being a direct registered shareholder 

Holding direct registered shares means you are recognized by Hoffmann Green Cement Technologies. 

Holding direct registered shares will be the favored option for shareholders with a more long-term vision who are seeking a “privileged” relationship with Hoffmann Green Cement Technologies.

You directly receive your Shareholders’ Meeting invitation without having to take any specific action yourself, you pay no custody or handling fees and benefit from reduced brokerage fees.

To buy your shares or convert them into direct registered shares, please fill in the appropriate form (contact us to obtain it) and send it to your financial intermediary, who will pass on your request to us.

Hoffmann Green’s securities services manager is BNP Paribas Securities Services.

Being an administered registered shareholder

When you are an administered registered shareholder, your share portfolio is managed by your bank in the form of a share savings plan or a securities account.

Custody and management fees are deducted by your account manager.

You directly receive your Shareholders’ Meeting invitation without having to take any specific action yourself.

To convert your direct shares into administered shares, please fill in the transfer application form (contact us to obtain it).

To buy your shares or convert your bearer shares into administered shares, you must contact your financial intermediary, who will advise you of the procedure.

Being a bearer shareholder

As a bearer shareholder, your shares are registered with your financial intermediary, who is your sole contact for all your operations relating to the management of your portfolio.

Custody and management fees are deducted by your account manager.

You are informed of Shareholders’ Meetings via a notice in the BALO legal notices journal at least 35 days prior to the Meeting. You can then ask your financial intermediary for your invitation. A financial schedule is also accessible on the Company’s website.

To be able to attend a Shareholders’ Meeting, if held in person, you must request an admission card in your name from your financial intermediary, who will transmit your request for an admission card (always accompanied by a certificate of participation, confirmed two working days prior to the event) to BNP Paribas Securities Services, Hoffmann Green’s securities services manager. The admission card is established by BNP Paribas Securities Services, who then sends it to you by post. 

If you have not received your admission card two working days before the Shareholders’ Meeting, you can still participate in the Meeting and vote if you have your certificate of participation dated two working days prior to the event.

Should the Shareholders’ Meeting be held in closed session, please refer to the voting procedures indicated in the notice published in the BALO legal notices journal at least 35 days prior to the Meeting. 

To convert your direct registered shares into bearer shares, please fill in the transfer application form (contact us to obtain it).

To buy your shares or convert your administered shares into bearer shares, you must contact your financial intermediary, who will advise you of the procedure.
